Eli Lilly to Acquire Merida Biosciences for Up to $2.875 Billion

Eli Lilly announced on August 31 that it has entered into a definitive agreement to acquire Merida Biosciences, a U.S. biotech developing therapies for serious autoimmune and allergic diseases, for up to $2.875 billion in cash. The total includes an upfront payment and contingent milestone payments, with closing expected in Q4 2026.

Merida is developing an antibody-engineering platform designed to selectively and durably remove disease-causing autoantibodies while preserving normal immune function, expanding Lilly’s immunology pipeline.

Key Highlights
  • MER511 is in Phase 1 for Graves’ disease and thyroid eye disease
  • Initial data showed robust reductions in pathogenic thyroid-stimulating antibodies
  • MER769 is a preclinical program for food allergy, asthma, chronic spontaneous urticaria, and related conditions
  • The platform has potential across more than two dozen autoimmune and allergic diseases

The deal reflects a broader shift from broad immunosuppression toward more precise targeting of disease-driving autoantibodies. MER511 remains early-stage, but the potential to extend the platform across multiple diseases is a key part of the strategic value behind the acquisition.

Platform-based drug development also requires the organization to advance a lead asset while preparing the next indications and follow-on programs. Greenstaff Life Sciences supports companies as programs move from research into development and commercialization, connecting the specialist talent needed to build teams alongside expanding pipelines.

Congratulations to Eli Lilly, Merida Biosciences, and everyone involved in the transaction.
